Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Smart Byte Labs ("Smart Byte Labs", "we", "us"), operating the VyaparNext product at https://vyaparnext.com and the customer application at https://app.vyaparnext.com. By creating an account, downloading software, paying for a plan, or using any part of the service, you agree to these Terms, our Privacy Policy, Cancellation & Refund Policy, and Acceptable Use Policy.

If you accept on behalf of a shop or company, you confirm you have authority to bind that business. VyaparNext is not affiliated with the Vyapar billing app (vyaparapp.in).

1. The service

VyaparNext provides retail point-of-sale and billing software (including POS Lite), optional cloud sync, hosted online store features, and related support. Features depend on your plan. We may update features, interfaces, or supported platforms with reasonable notice when the change materially affects paid plans.

2. Accounts

You must provide accurate registration details and keep credentials secure. You are responsible for activity under your account and for staff logins you create. Notify us promptly at [email protected] if you suspect unauthorised access.

3. Fees, GST, and billing

Paid plans, setup fees, and add-ons are described on vyaparnext.com/pricing. Unless we state otherwise, prices are in Indian Rupees (INR) and exclude Goods and Services Tax (GST). GST is charged at the applicable rate on invoices. Subscriptions renew according to the billing cycle you select until you cancel as described in our refund policy.

POS Lite is free to install. One-time setup fees for Connected POS, Store, Commerce, or custom work are due as quoted before deployment begins.

4. Your shop data

You retain ownership of business data you enter (products, bills, customers, inventory). We process it to provide the service, backups, and support as described in the Privacy Policy. You grant us a limited licence to host, back up, and display your data only to operate VyaparNext for you.

You may export data while your account is active. After cancellation, we may retain data for a limited period for recovery and legal compliance, then delete or anonymise it unless law requires longer retention.

5. Acceptable use

You must comply with our Acceptable Use Policy and applicable law. We may suspend or terminate accounts that breach these Terms, fail to pay, or create security or legal risk.

6. Intellectual property

VyaparNext software, branding, documentation, and the marketing site are owned by Smart Byte Labs or its licensors. We grant you a non-exclusive, non-transferable licence to use the software for your internal business operations for the duration of your subscription or free tier use, subject to these Terms.

7. Third-party services

Payment gateways, SMS, email, hosting, and device platforms are operated by third parties. Their outages or policy changes may affect parts of the service. We are not responsible for third-party products you connect unless we expressly agree in writing.

8. Warranties and availability

The service is provided on a commercially reasonable efforts basis. Offline POS Lite is designed to bill when your device loses connectivity; cloud features require a working connection. See our Disclaimer for limits on warranties.

9. Limitation of liability

To the maximum extent permitted under Indian law, Smart Byte Labs is not liable for indirect, incidental, or consequential damages, or for loss of profits, data, or goodwill. Our aggregate liability for claims relating to the service in any twelve-month period is limited to the fees you paid to us for that service in those twelve months, except where liability cannot be limited by law.

10. Indemnity

You agree to indemnify Smart Byte Labs against claims arising from your misuse of the service, your shop data, or your violation of law or these Terms, except to the extent caused by our gross negligence or wilful misconduct.

11. Governing law and disputes

These Terms are governed by the laws of India. Courts at Surat, Gujarat have exclusive jurisdiction, subject to any mandatory consumer protections that apply to you. Before litigation, contact us to seek resolution. Unresolved complaints may be escalated under our Grievance Redressal process.

12. Changes

We may update these Terms. We will post the revised version on this page and update the "Last updated" date. Material changes to paid subscribers will be communicated by email or in-app notice where practicable. Continued use after the effective date constitutes acceptance.
